Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement (“Agreement”) is entered into as of the Effective Date (defined below) by and between:

1. Sunlink.ai, a [State of Incorporation] corporation with a principal place of business at [Address] (hereinafter referred to as “Company”), and
2. Kalhar Pandya, an individual (hereinafter referred to as “Recipient” or “3rd Party Developer”).

The Company and the 3rd Party Developer may hereinafter be referred to individually as a “Party” and collectively as the “Parties.”

1. Effective Date

This Agreement becomes effective on the date last signed by the Parties (the “Effective Date”).

2. Purpose

The Company is engaged in the development of an AI-driven PaaS/SaaS product (“Product”) for solar vendors, including but not limited to software platforms, data models, integrations, designs, business strategies, or other proprietary assets (collectively, “Company’s Business”). The 3rd Party Developer has been or will be engaged to contribute to or learn about the Company’s Business and related intellectual property (“IP”).

In the course of this relationship, the 3rd Party Developer may have access to or create Confidential Information belonging to the Company. The Parties desire to set forth binding obligations regarding the confidentiality and non-use of such information.

3. Definitions

3.1. Confidential Information

“Confidential Information” means any non-public, proprietary, or confidential information or materials (tangible or intangible) disclosed by the Company to the 3rd Party Developer, directly or indirectly, including but not limited to:

• Technical information such as software code, architectures, algorithms, data sets, machine learning models, prototypes, designs, specifications, plans, drawings, product roadmaps, or any other technical details.
• Business information such as customer lists, potential client contacts, pricing strategies, marketing data, financial forecasts, or strategic plans.
